OnVetus Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the OnVetus integrated logistics management platform, website, and all related services, features, content, and applications (collectively, the "Service") provided by OnVetus LLC ("OnVetus," "we," "our," or "us").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree with these Terms, you must not use our Service.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, and any future amendments and additions to these Terms as published from time to time on the Service or through other means.

2. Definitions

  • Service: Refers to the OnVetus integrated logistics management platform, website, and all related services, features, content, and applications provided by OnVetus LLC.

  • User/You: Refers to any individual or entity that accesses or uses the Service.

  • Account: A registered user profile on the OnVetus platform.

  • Content: Any data, text, graphics, images, audio, video, software, and other materials available on or through the Service.

  • Logistics Data: Information related to logistics operations, including shipment details, driver information, vehicle details, route data, delivery status, tracking information, etc.

  • AI Tools: Refers to AI-powered features within the Service, such as the Logistics Glossary and Plan Recommender.

3. Service Description

OnVetus provides an AI-powered integrated logistics management platform designed to streamline supply chain operations, enhance efficiency, and provide real-time visibility for 3PL providers, e-commerce merchants, and retail chains. The Service includes features such as automated workflows, real-time tracking, integrated communication tools, AI-powered route optimization, actionable insights, and AI tools like a logistics glossary and plan recommender.

4. User Accounts

  • Registration: To access certain features of the Service, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Security: You are responsible for maintaining the confidentiality of your Account login credentials and for all activities that occur under your Account. You agree to notify OnVetus immediately of any unauthorized use of your Account or any other breach of security. OnVetus will not be liable for any loss or damage arising from your failure to comply with this security obligation.

  • Eligibility: By creating an Account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing or using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

5. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation.

  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm OnVetus or users of the Service or expose them to liability.

  • Use the Service to transmit any unsolicited or unauthorized advertising or promotional material.

  • Impersonate or attempt to impersonate OnVetus, an OnVetus employee, another user, or any other person or entity.

  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

  • Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.

  • Submit false, inaccurate, or misleading Logistics Data or other information.

  • Misuse or abuse the AI Tools, including but not limited to submitting inappropriate content or attempting to bypass their intended functionality.

6. Intellectual Property Rights

  • OnVetus Content: All Content on the Service, including text, graphics, logos, images, as well as the compilation thereof, and any software used on the Service, is the property of OnVetus LLC or its suppliers and protected by copyright and other intellectual property laws.

  • User Data: You retain ownership of any Logistics Data and other information you submit, post, or display on or through the Service. By submitting such data, you grant OnVetus a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your data in connection with the Service and OnVetus's business, including for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. This license is solely for the purpose of operating, improving, and providing the Service.

  • AI Tool Outputs: Outputs generated by AI Tools based on your inputs are provided for informational purposes only. OnVetus does not guarantee the accuracy or completeness of such outputs and disclaims all liability for any reliance placed on them.

7. Privacy Policy

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ONVETUS NOR ANY PERSON ASSOCIATED WITH ONVETUS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER ONVETUS NOR ANYONE ASSOCIATED WITH ONVETUS REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

9. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL ONVETUS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

10. Indemnification

You agree to defend, indemnify, and hold harmless OnVetus, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the courts of New Mexico.

12. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your Account, you may simply discontinue using the Service.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
